The Parliament of Australia enacts:
5
1 Short title
6
This Act may be cited as the Australian Astronomical Observatory
7
(Transitional Provisions) Act 2009.
8
2 Commencement
9
(1) Each provision of this Act specified in column 1 of the table
10
commences, or is taken to have commenced, in accordance with
11
column 2 of the table. Any other statement in column 2 has effect
12
according to its terms.

1 Definitions

In this Schedule:
4
asset means:
5
(a) any legal or equitable estate or interest in real or personal
6
property, whether actual, contingent or prospective; and
7
(b) any right, power, privilege or immunity, whether actual,
8
contingent or prospective;
9
but does not include a right, power, privilege or immunity conferred by
10
an Act or by regulations or other subordinate legislation made under an
11
Act.
12
assets official, in relation to an asset other than land, means the person
13
or authority who, under:
14
(a) a law of the Commonwealth, a State or a Territory; or
15
(b) a trust instrument; or
16
(c)
otherwise;
17
has responsibility for keeping a register in relation to assets of the kind
18
concerned.
19
Board means the Anglo-Australian Telescope Board that was
20
established by the Anglo-Australian Telescope Agreement Act 1970.
21
land means any legal or equitable estate or interest in real property,
22
whether actual, contingent or prospective.
23
land registration official, in relation to land, means the Registrar of
24
Titles or other proper officer of the State or Territory in which the land
25
is situated.
26
liability means any liability, duty or obligation, whether actual,
27
contingent or prospective, but does not include a liability, duty or
28
obligation imposed by an Act or by regulations or other subordinate
29
legislation made under an Act.
30
responsible financial officer means a person appointed under item 15.
31
Secretary means the Secretary of the Department.
32
transition time means the commencement of this Schedule.

Part 2--Transfer of assets and liabilities

2 Vesting of assets of Board
2
(1)
This item applies to the assets of the Board immediately before the
3
transition time.
4
(2)
At the transition time, the assets cease to be assets of the Board and
5
become assets of the Commonwealth without any conveyance, transfer
6
or assignment. The Commonwealth becomes the successor in law in
7
relation to the assets.
8
3 Vesting of liabilities of Board
9
(1)
This item applies to the liabilities of the Board immediately before the
10
transition time.
11
(2)
At the transition time, the liabilities cease to be liabilities of the Board
12
and become liabilities of the Commonwealth without any conveyance,
13
transfer or assignment. The Commonwealth becomes the successor in
14
law in relation to the liabilities.
15
4 Transfers of land may be registered
16
(1)
This item applies if:
17
(a) any land vests in the Commonwealth under this Part; and
18
(b) there is lodged with a land registration official a certificate
19
that:
20
(i) is signed by the Minister; and
21
(ii) identifies the land, whether by reference to a map or
22
otherwise; and
23
(iii) states that the land has become vested in the
24
Commonwealth under this Part.
25
(2)
The land registration official may:
26
(a) register the matter in a way that is the same as, or similar to,
27
the way in which dealings in land of that kind are registered;
28
and
29
(b) deal with, and give effect to, the certificate.
30
(3)
A certificate under paragraph (1)(b) is not a legislative instrument.

5 Certificates relating to vesting of assets other than land

(1)
This item applies if:
1
(a) any asset other than land vests in the Commonwealth under
2
this Part; and
3
(b) there is lodged with an assets official a certificate that:
4
(i) is signed by the Minister; and
5
(ii) identifies the asset; and
6
(iii) states that the asset has become vested in the
7
Commonwealth under this Part.
8
(2)
The assets official may:
9
(a) deal with, and give effect to, the certificate as if it were a
10
proper and appropriate instrument for transactions in relation
11
to assets of that kind; and
12
(b) make such entries in the register as are necessary having
13
regard to the effect of this Part.
14
(3)
A certificate under paragraph (1)(b) is not a legislative instrument.

Part 3--Transfer of other matters

6 Transitional--acts of the Board to be attributed to the
2
Commonwealth
3
(1)
This item applies to anything done by, or in relation to, the Board
4
before the transition time.
5
(2)
After the transition time, the thing has effect as if it had been done by,
6
or in relation to, the Commonwealth.
7
7 Substitution of Commonwealth as a party to certain
8
pending proceedings
9
(1)
This item applies if any proceedings to which the Board was a party
10
were pending in any court or tribunal immediately before the transition
11
time.
12
(2)
The Commonwealth is substituted for the Board, from the transition
13
time, as a party to the proceedings.

8 Transitional--transfer of records to the Department
15
(1)
This item applies to any records or documents that were in possession
16
of the Board immediately before the transition time.
17
(2)
The records and documents are to be transferred to the Department after
18
the transition time.
19
9 Transitional--transfer of Ombudsman investigations
20
If:
21
(a) before the transition time, a complaint was made to the
22
Ombudsman, or the Ombudsman began an investigation,
23
under the Ombudsman Act 1976 in relation to an action taken
24
by the Board; and
25
(b) immediately before transition time, the Ombudsman had not
26
finally disposed of the matter in accordance with the
27
Ombudsman Act 1976;
28
the Ombudsman Act 1976 applies after the transition time as if that
29
action had been taken by the Department.

10 References in certain instruments to the Board

(1) If:
1
(a) an instrument was in force immediately before the transition
2
time; and
3
(b) the instrument is an instrument covered by one or more of the
4
following subparagraphs:
5
(i) an instrument that was made by the Board;
6
(ii) an instrument to which the Board was a party;
7
(iii) an instrument that was given to, or in favour of, the
8
Board;
9
(iv) an instrument under which any right or liability accrues
10
or may accrue to the Board;
11
(v) any other instrument in which a reference is made to the
12
Board;
13
the reference has effect after the transition time as if it were a reference
14
to the Commonwealth.
15
(2)
In this item:
16
instrument:
17
(a)
includes:
18
(i) a contract, deed, undertaking or agreement; and
19
(ii) a notice, authority, order or instruction; and
20
(iii) an instrument made under an Act or under regulations;
21
but
22
(b) does not include an exempt instrument.
23
exempt instrument means:
24
(a) an Act; or
25
(b) an instrument made under this Act; or
26
(c)
the
Long Service Leave (Commonwealth Employees)
27
Regulations 1957; or
28
(d)
the
Freedom of Information (Miscellaneous Provisions)
29
Regulations 1982; or
30
(e)
the
Superannuation Benefit (Interim Arrangement) (Qualified
31
Employees) Regulations; or
32
(f)
the
Superannuation (CSS) Approved Authority Declaration
33
1995; or
34
(g)
the
Superannuation (CSS) Transfer Arrangements

11 Transfer of appropriated money
1
(1)
For the purposes of the operation of an Appropriation Act after the
2
transition time, references to the Board are to be read as references to
3
the Department.
4
(2)
In this item:
5
Appropriation Act means an Act appropriating money for expenditure
6
out of the Consolidated Revenue Fund.

12 Audit

(1)
Despite the repeal of section 14 of the Anglo-Australian Telescope
3
Agreement Act 1970, that section continues to apply, in relation to an
4
inspection and audit carried out in respect of a financial year that began
5
on or before 1 July 2009, as if that section had not been repealed.
6
(2)
Subitem (1) has effect subject to the following subitems.
7
(3)
A reference in that section to records of the Board includes a reference
8
to records transferred to the Department under item 8 of this Schedule.
9
(4)
A reference in that section to an employee of the Board includes a
10
reference to an APS employee in the Department.

13 Final financial statements
12
(1)
Despite the repeal of section 19 of the Anglo-Australian Telescope
13
Agreement Act 1970, that section continues to apply, in relation to
14
financial statements for the financial year that began on 1 July 2009, as
15
if that section had not been repealed.
16
(2)
However, the obligation to prepare and provide those financial
17
statements is imposed on the responsible financial officer instead of the
18
Board.

14 Final annual report
20
(1)
The responsible financial officer must, as soon as practicable after the
21
end of the financial year that began on 1 July 2009, prepare and give to
22
the Minister, for presentation to the Parliament, a report on the
23
operations of the Board during that year.
24
(2)
The report under subitem (1) is taken to be a periodic report for the
25
purposes of section 34C of the Acts Interpretation Act 1901.
26
15 Responsible financial officer
27
(1)
The Secretary may, by writing, appoint a person as the responsible
28
financial officer for the purposes of this Schedule.
29
(2)
The Secretary must not appoint a person under subsection (1) unless the
30
person:

(a) is an SES employee or acting SES employee; or
1
(b) holds, or is acting in, an Executive Level 1 or 2 position or an
2
equivalent position.

SES employee is defined in section 17AA of the Acts Interpretation Act 1901.

16 Terms and conditions of employment

Transferring employees
3
(1)
For the purposes of this item, a person is a transferring employee if:
4
(a) the person was employed by the Board immediately before
5
the transition time; and
6
(b) the person is covered by a determination that:
7
(i) is made under section 72 of the Public Service Act 1999;
8
and
9
(ii) causes the person, at the transition time, to become an
10
APS employee (other than an SES employee) in the
11
Department.
12
(2) If:
13
(a) a person is a transferring employee; and
14
(b) immediately before the transition time, the person's
15
employment by the Board was covered by a designated
16
agreement;
17
then:
18
(c) the designated agreement covers the Commonwealth and the
19
transferring employee in relation to AAO work; and
20
(d) while the designated agreement covers the Commonwealth
21
and the transferring employee in relation to AAO work, no
22
other enterprise agreement, modern award or award-based
23
transitional instrument covers the transferring employee in
24
relation to AAO work; and
25
(e) the designated agreement has effect after the transition time,
26
in relation to the transferring employee's AAO work, as if it
27
had been made with the Secretary on behalf of the
28
Commonwealth; and
29
(f) if the transferring employee becomes an SES employee after
30
the transition time--paragraphs (c), (d) and (e) cease to apply
31
in relation to the transferring employee.

New employees
33
(3)
For the purposes of this item, a person is a new employee if:

(a) the person is an APS employee (other than an SES employee)
1
in the Department; and
2
(b) the person performs AAO work; and
3
(c) the person is not a transferring employee.

(4) If:
5
(a) a designated agreement covers the Commonwealth because
6
of subitem (2); and
7
(b) after the transition time, a person becomes a new employee;
8
then:
9
(c) the designated agreement covers the Commonwealth and the
10
new employee in relation to AAO work; and
11
(d) while the designated agreement covers the Commonwealth
12
and the new employee in relation to AAO work, no other
13
enterprise agreement, modern award or award-based
14
transitional instrument covers the new employee in relation
15
to AAO work.

Definitions
17
(5)
In this item:
18
AAO work, in relation to an employee, means work performed after the
19
transition time by the employee within the Australian Astronomical
20
Observatory.
21
award-based transitional instrument has the same meaning as in
22
Schedule 2 to the Fair Work (Transitional Provisions and
23
Consequential Amendments) Act 2009.
24
designated agreement means:
25
(a)
the
AATB Enterprise Agreement 2007-2010; or
26
(b) an enterprise agreement.
27
enterprise agreement has the same meaning as in the Fair Work Act
28
2009.
29
modern award has the same meaning as in the Fair Work Act 2009.

17 Accrued entitlements
31
(1)
This item applies to a person if:
32
(a) the person was employed by the Board immediately before
33
the transition time; and

(b) the person is covered by a determination that:
1
(i) is made under section 72 of the Public Service Act 1999;
2
and
3
(ii) causes the person, at the transition time, to become an
4
APS employee in the Department.

(2)
The person is taken to have accrued an entitlement to benefits, in
6
connection with the person's employment as an APS employee, that is
7
equivalent to the entitlement that the person had as an employee of the
8
Board immediately before the transition time.
9
(3)
The service of the person as an employee of the Board is taken, for all
10
purposes, to have been continuous with his or her service as an APS
11
employee.

18 Long service leave
13
(1)
This item applies to a person if:
14
(a) the person was employed by the Board immediately before
15
the transition time; and
16
(b) the person is covered by a determination that:
17
(i) is made under section 72 of the Public Service Act 1999;
18
and
19
(ii) causes the person, at the transition time, to become an
20
APS employee in the Department.
21
(2) The
Long Service Leave (Commonwealth Employees) Act 1976 has
22
effect, in relation to the person, as if a period during which the person
23
was employed by the Board were a period during which the person was
24
employed in Government Service.
25
19 Safety, Rehabilitation and Compensation Act 1988--
26
rehabilitation provisions
27
(1)
This item applies if, before the transition time, an employee of the
28
Board suffered an injury resulting in an incapacity for work or an
29
impairment.
30
(2)
Sections 36, 37, 38, 39, 41 and 41A of the Safety, Rehabilitation and
31
Compensation Act 1988 apply after the transition time, in relation to the
32
injury, as if the employee were employed by the Department.

Note:
The main effect of subitem (2) is that sections 36, 37, 38, 39, 41 and 41A of the Safety,
1
Rehabilitation and Compensation Act 1988 apply in relation to the employee's injury as
2
if the Secretary of the Department were the rehabilitation authority.

(3)
After the transition time, the Department is, for the purposes of
4
section 40 of the Safety, Rehabilitation and Compensation Act 1988,
5
taken to be the relevant employer of the employee.

20 Exemption from stamp duty and other State or Territory
2
taxes
3
(1)
No stamp duty or other tax is payable under a law of a State or a
4
Territory in respect of an exempt matter, or anything connected with an
5
exempt matter.
6
(2)
For the purposes of this item, an exempt matter is:
7
(a) the vesting of an asset or liability under this Schedule; or
8
(b) the operation of this Schedule in any other respect.
9
(3)
The Minister may certify in writing:
10
(a) that a specified matter is an exempt matter; or
11
(b) that a specified thing was connected with a specified exempt
12
matter.
13
(4)
In all courts, and for all purposes (other than for the purposes of
14
criminal proceedings), a certificate under subitem (3) is prima facie
15
evidence of the matters stated in the certificate.

21 Constitutional safety net
17
(1)
If the operation of this Schedule would result in an acquisition of
18
property from a person otherwise than on just terms, the
19
Commonwealth is liable to pay a reasonable amount of compensation to
20
the person.
21
(2)
If the Commonwealth and the person do not agree on the amount of the
22
compensation, the person may institute proceedings in a court of
23
competent jurisdiction for the recovery from the Commonwealth of
24
such reasonable amount of compensation as the court determines.
25
(3)
In this item:
26
acquisition of property has the same meaning as in paragraph 51(xxxi)
27
of the Constitution.
28
just terms has the same meaning as in paragraph 51(xxxi) of the
29
Constitution.

22 Certificates taken to be authentic

A document that appears to be a certificate made or issued under a
1
particular provision of this Schedule:
2
(a) is taken to be such a certificate; and
3
(b) is taken to have been properly given;
4
unless the contrary is established.

23 Delegation by Minister
6
(1)
The Minister may, by writing, delegate all or any of his or her powers
7
and functions under this Schedule to a person.
8
(2)
The delegate must be:
9
(a) the Secretary; or
10
(b) an SES employee, or acting SES employee, in the
11
Department.
12
Note:
SES employee is defined in section 17AA of the Acts Interpretation Act 1901.
13
(3)
In exercising powers or functions under a delegation, the delegate must
14
comply with any directions of the Minister.
15
24 Transitional--regulations
16
The Governor-General may make regulations in relation to transitional
17
matters arising out of the repeal of the Anglo-Australian Telescope
18
Agreement Act 1970.
