The following is a simplified outline of this Act:

This Act establishes the Australian Organ and Tissue Donation and
9
Transplantation Authority. The Authority has a number of
10
functions relating to organ or tissue donation and transplantation
11
matters.

The Authority consists of the Chief Executive Officer and the staff
13
of the Authority. The functions of the CEO include:
14
(a)
determining objectives, strategies and policies to be
15
followed by the Authority in the performance of its
16
functions; and
17
(b)
ensuring the proper, efficient and effective performance
18
of the Authority's functions; and
19
(c)
managing the administration of the Authority.
20
The Australian Organ and Tissue Donation and Transplantation
21
Advisory Board is also established by this Act. The Advisory
22
Board's main function is advising the CEO about a number of
23
matters including organ or tissue donation and transplantation
24
matters.
25
The Act also provides for the CEO to establish expert advisory
26
committees and for the Authority to make grants relating to organ
27
or tissue donation and transplantation matters.

28 Establishment of the Advisory Board

The Australian Organ and Tissue Donation and Transplantation

Advisory Board is established by this section.
7
29 Functions of the Advisory Board
8
(1) The functions of the Advisory Board are:
9
(a) to advise the CEO, either on its own initiative or at the
10
request of the CEO, about the following matters:
11
(i) the objectives, strategies and policies to be followed by
12
the Authority in the performance of its functions;
13
(ii) the performance of the Authority's functions;
14
(iii) organ or tissue donation and transplantation matters;
15
and
16
(b) to provide strategic advice to the Minister about the
17
performance of the Authority's functions if requested to do
18
so by the Minister; and
19
(c) to do anything incidental or conducive to the performance of
20
any of the above functions.
21
(2) The Advisory Board has power to do all things necessary or
22
convenient to be done for, or in connection with, the performance
23
of its functions.

30 Membership

The Advisory Board consists of:
27
(a) the Chair; and
28
(b) the Deputy Chair; and

(c) at least 3, but not more than 5, other members.

31 Appointment of Advisory Board members
2
(1) Subject to this section, the Advisory Board members are to be
3
appointed by the Minister by written instrument, on a part-time
4
basis.

An Advisory Board member may be reappointed: see section 33AA of
6
the
Acts Interpretation Act 1901
.

Eligibility for appointment
8
(2) A person is not eligible for appointment as an Advisory Board
9
member unless the Minister is satisfied that the person has
10
experience in, or knowledge of, at least one of the following fields:
11
(a) public or health leadership or administration;
12
(b) clinical expertise in organ or tissue donation and
13
transplantation;
14
(c) business management;
15
(d) community leadership and engagement in relation to organ or
16
tissue donation and transplantation matters;
17
(e) promotion of organ or tissue donation and transplantation
18
matters;
19
(f) health consumer advocacy;
20
(g) any other field that the Minister considers appropriate.

Mix of Advisory Board members
22
(3) In appointing the Advisory Board members, the Minister must
23
ensure, to the extent practicable, that those Advisory Board
24
members are an appropriate mix of persons meeting the
25
requirements of subsection (2).

Consultation
27
(4) Before the Minister appoints a person as an Advisory Board
28
member (other than the Chair), the Minister must consult:
29
(a) the Minister of each State who is responsible, or principally
30
responsible, for the administration of matters relating to
31
health in the State; and

(b) the Minister of the Northern Territory who is responsible, or
1
principally responsible, for the administration of matters
2
relating to health in that Territory; and
3
(c) the Minister of the Australian Capital Territory who is
4
responsible, or principally responsible, for the administration
5
of matters relating to health in that Territory; and
6
(d) such other persons (if any) as the Minister considers
7
appropriate.

32 Term of appointment
9
An Advisory Board member holds office for the period specified in
10
the instrument of appointment. The period must not exceed 4 years.
11
33 Acting appointment
12
Acting as the Chair
13
(1) The Minister may, by written instrument, appoint an Advisory
14
Board member to act as the Chair:
15
(a) during a vacancy in the office of Chair, whether or not an
16
appointment has previously been made to the office; or
17
(b) during any period, or during all periods, when the Chair:
18
(i) is absent from duty or from Australia; or
19
(ii) is, for any reason, unable to perform the duties of the
20
office.

Acts Interpretation Act 1901
.

Acting as an appointed Board member (other than the Chair)
24
(2) The Minister may, by written instrument, appoint a person to act as
25
an Advisory Board member (other than the Chair):

(a) during a vacancy in the office of an Advisory Board member

(other than the Chair), whether or not an appointment has
28
previously been made to the office; or
29
(b) during any period, or during all periods, when an Advisory
30
Board member (other than the Chair):
31
(i) is absent from duty or from Australia; or

(3) A person is not eligible for appointment under subsection (2)

unless the Minister is satisfied that the person meets the

requirements of subsection 31(2).

34 Remuneration
8
(1) An Advisory Board member is to be paid the remuneration that is
9
determined by the Remuneration Tribunal. If no determination of
10
that remuneration by the Tribunal is in operation, the Advisory
11
Board member is to be paid the remuneration that is prescribed by
12
the regulations.
13
(2) An Advisory Board member is to be paid the allowances that are
14
prescribed by the regulations.

(3) This section has effect subject to the
Remuneration Tribunal Act
16
1973
.
17
35 Leave of absence
18
(1) The Minister may grant leave of absence to the Chair on the terms
19
and conditions that the Minister determines.
20
(2) The Chair may grant leave of absence to any other Advisory Board
21
member on the terms and conditions that the Chair determines.
22
(3) The Chair must notify the Minister if the Chair grants an Advisory
23
Board member leave of absence for a period that exceeds 3
24
months.
25
36 Other terms and conditions
26
An Advisory Board member holds office on the terms and
27
conditions (if any) in relation to matters not covered by this Act
28
that are determined by the Minister.

37 Resignation
1
(1) An Advisory Board member may resign the member's appointment
2
by giving the Minister a written resignation.
3
(2) The resignation takes effect on the day it is received by the
4
Minister or, if a later day is specified in the resignation, on that
5
later day.
6
38 Termination of appointment
7
(1) The Minister may terminate the appointment of an Advisory Board
8
member:
9
(a) for misbehaviour; or
10
(b) if the Advisory Board member is unable to perform the duties
11
of that member's office because of physical or mental
12
incapacity.
13
(2) The Minister may terminate the appointment of an Advisory Board
14
member if:
15
(a) the Advisory Board member:
16
(i) becomes bankrupt; or
17
(ii) applies to take the benefit of any law for the relief of
18
bankrupt or insolvent debtors; or
19
(iii) compounds with that member's creditors; or
20
(iv) makes an assignment of that member's remuneration for
21
the benefit of that member's creditors; or
22
(b) the Advisory Board member is absent, except on leave of
23
absence, from 3 consecutive meetings of the Advisory Board;
24
or
25
(c) the Advisory Board member fails, without reasonable excuse,
26
to comply with section 29 of the
Public Governance,
27
Performance and Accountability Act 2013
(which deals with
28
the duty to disclose interests) or rules made for the purposes
29
of that section.

Division 3--Meetings of the Advisory Board

39 Convening meetings
2
(1) The Advisory Board must hold such meetings as are necessary for
3
the efficient performance of its functions.
4
(2) The Chair must convene at least 4 meetings of the Advisory Board
5
each financial year.

40 Presiding at meetings
7
(1) The Chair must preside at all meetings of the Advisory Board at
8
which the Chair is present.
9
(2) If the Chair is not present at a meeting of the Advisory Board:
10
(a) the Deputy Chair is to preside; or
11
(b) if the Deputy Chair is not present--the other Advisory Board
12
members present must appoint one of themselves to preside.

41 Conduct of meetings

The Advisory Board may, subject to this Division, regulate
15
proceedings at its meetings as it considers appropriate.

In this Schedule:

commencement time
means the commencement of this Schedule.

OTA Act
means the
Australian Organ and Tissue Donation and

Transplantation Authority Act 2008

reporting period
has the same meaning as in the
Public Governance,

Performance and Accountability Act 2013
.

2 Functions of the CEO
11
Section 14B of the OTA Act, as amended by Schedule 1 to this Act,
12
applies in relation to the CEO whether appointed before or after the
13
commencement time.

3 Board members
15
(1)
This item applies to a person who, immediately before the
16
commencement time, was an appointed member within the meaning of
17
the OTA Act, as in force immediately before that time.
18
(2)
The person is taken, after the commencement time, to have been
19
appointed under section 31 of the OTA Act, as amended by Schedule 1
20
to this Act, as an Advisory Board member:
21
(a) for the balance of the person's term of appointment that
22
remained immediately before that time; and
23
(b) on the same terms and conditions as applied to the person
24
immediately before that time.
25
(3)
This item does not prevent those terms and conditions being varied after
26
the commencement time.

4 Consultants
28
(1)
This item applies to a person if:

(a) the person was engaged by the Board as a consultant under
1
section 26 of the OTA Act before the commencement time;

(2)
The person is taken, after the commencement time, to be engaged by the
5
CEO as a consultant under section 26 of the OTA Act, as amended by
6
Schedule 1 to this Act, on the same terms and conditions that applied to
7
the person's engagement immediately before that time.
8
(3)
This item does not prevent those terms and conditions being varied after
9
the commencement time.

5 Expert advisory committee
11
(1)
This item applies to an expert advisory committee if:
12
(a) the committee was established by the Board under section 44
13
of the OTA Act before the commencement time; and
14
(b) the committee existed immediately before that time.
15
(2)
The expert advisory committee is continued in existence and may be
16
dealt with, after the commencement time, as if it were an expert
17
advisory committee established by the CEO under section 44 of the
18
OTA Act, as amended by Schedule 1 to this Act.

6 Expert advisory committee members
20
(1)
This item applies to a person if:
21
(a) the person was appointed by the Board as an expert advisory
22
committee member under section 46 of the OTA Act before
23
the commencement time; and
24
(b) the appointment was in effect immediately before that time.
25
(2)
The person is taken, after the commencement time, to have been
26
appointed by the CEO under section 46 of the OTA Act, as amended by
27
Schedule 1 to this Act, as an expert advisory committee member:
28
(a) for the balance of the person's term of appointment that
29
remained immediately before that time; and
30
(b) on the same terms and conditions as applied to the person
31
immediately before that time.

7 Agreements regarding grants of financial assistance
3
(1)
This item applies if:
4
(a) a grant of financial assistance of a kind referred to in
5
subsection 54(1), 55(1) or 56(1) of the OTA Act was made
6
by the Board to a person before the commencement time; and
7
(b) immediately before that time, an agreement setting out the
8
terms and conditions on which the financial assistance was
9
granted has not been entered into between the
10
Commonwealth and the person.
11
(2)
The Authority may, after the commencement time, enter into such an
12
agreement on behalf of the Commonwealth.
13
8 Compliance with terms and conditions of grants of
14
financial assistance
15
Subsection 56(2A) of the OTA Act, as inserted by Schedule 1 to this
16
Act, applies in relation to the terms and conditions set out in an
17
agreement that is entered into after the commencement time.
18
9 Protection of patient confidentiality
19
Section 58 of the OTA Act, as amended by Schedule 1 to this Act,
20
applies in relation to information that was obtained before or after the
21
commencement time.
22
10 Annual report etc.
23
For the purposes of sections 39, 42 and 46 of the
Public Governance,
24
Performance and Accountability Act 2013
, and rules made for the
25
purposes of those sections, the CEO is the accountable authority in
26
relation to the following reporting periods for the Authority:
27
(a) the reporting period commencing on 1 July 2021;
28
(b) each later reporting period.
29
11 Transitional rules
30
(1)
The Minister may, by legislative instrument, make rules prescribing
31
matters of a transitional nature (including prescribing any saving or
32

application provisions) relating to the amendments or repeals made by

this Act.

(2)
To avoid doubt, the rules may not do the following:

(a) create an offence or civil penalty;

(b) provide powers of:

(i) arrest or detention; or

(ii) entry, search or seizure;

(c) impose a tax;

(d) set an amount to be appropriated from the Consolidated

Revenue Fund under an appropriation in this Act;

(e) directly amend the text of this Act.

This Schedule (other than subitem (2)) does not limit the rules that may

be made for the purposes of subitem (1).
