If a body corporate commits an offence against this Act, each member of the
governing body of the body corporate is guilty of an offence and liable to the
same penalty applicable to the principal offence unless it is proved that the
member could not, by the exercise of reasonable diligence, have prevented the
commission of that offence by the body corporate.
